Promotional Terms & Conditions

These Promotional Terms & Conditions (“Terms”) govern all promotional offers, discounts, offers, and incentives (“Promotions”) provided  by Support Shepherd LLC, dba Somewhere  (“Somewhere”, “we”, “our”, or “us”). These Promotions may be communicated through our  website, email campaigns, social media, referral programs, webinars, podcasts, workshops, or any other marketing or engagement channel (“Promotional Events / Channels”).

By participating in a Promotion, the recipient or participant (“you or “your”) agree to be bound by these Terms. These Terms are effective from July 1, 2025 and remain valid until August 31, 2025, unless earlier modified or terminated by Somewhere at our sole discretion. 

1. Eligibility Criteria

• Promotions are available to new clients only. A “new client” is defined as a company or individual that has not previously completed a hire through Somewhere, whether under our Direct Hire or Managed Services model within the last 6 months.
  
• You must register for or attend the applicable Promotional Event (e.g. webinar, referral program, podcast) or receive direct promotional outreach to be eligible for the associated offer.
  
• Promotions are limited to one per company, regardless of the number of registrants or attendees.
• To activate a Promotion, you must:
  
  • Sign a Master Services Agreement (MSA) or other applicable contract with Somewhere; and
  • Submit the required deposit within 14 calendar days from the date of the Promotional Event or communication.
• Promotions are limited to one per company and apply only to the first hire completed with Somewhere.
  

2. Promotion Details 

2.1 Direct Hire Promotions / Model 

• Eligible new clients will receive $500 USD credit applied to the final invoice for the first candidate placed under our Direct Hire model.
  
• The $500 credit applies:
  
  • Cannot be applied to multiple hires. 
  • Is non-refundable and non-transferable.
    

2.2 Managed Services Promotions / Model 

• Eligible new clients will receive one (1) month free for their first hire under our Managed Services offering.
  
• The free month includes:
  
  • The Consultants gross monthly compensation; and 
  • Somewheres associated services fees, 
  • Capped at a maximum of $3,000 USD.
    
• Any amount exceeding the $3,000 USD limit is the responsibility of the client and will be invoiced separately.
  

3. Limitations and Exclusions

• Promotions: 
  
  • Have no cash value and may not be exchanged, redeemed, or applied retroactively. 
  • May not be combined with other offers, discounts, success fee reductions, custom pricing agreements, or legacy rates.
    
• Clients with any prior or current engagements with Somewhere are not eligible, including:
  
  • Past clients who have previously completed a hire. 
  • Clients who have signed an MSA or submitted a deposit prior to July 1, 2025. 
• Promotions must be explicitly referenced at the time of engagement. Failure to do so may result in disqualification.
  

4. Modification and Termination 

• Somewhere reserves the right to:
  
  • Modify these Terms or the scope of any Promotion; 
  • Suspend or cancel any Promotion in whole or in part; 
  • Reject or withdraw any Promotion offer, at any time and without prior notice, at our sole discretion.
